DOVER, Del. — A judge in Delaware has reiterated her decision that Tesla is required to cancel Elon Musk’s massive pay agreement. On Monday, Chancellor Kathaleen St. Jude McCormick dismissed a request from Musk and the company’s corporate directors aimed at overturning her earlier ruling demanding the revocation of the extraordinary compensation package.

Additionally, McCormick turned down a substantial fee request made by the plaintiff’s attorneys, who contended they deserved legal fees equivalent to more than $5 billion worth of Tesla stock. Instead, the judge granted them a fee award of $345 million.

These decisions stem from a lawsuit brought by a stockholder of Tesla, who questioned the legitimacy of Musk’s compensation package established in 2018.

In her January ruling, McCormick determined that Musk had orchestrated the groundbreaking pay arrangement through insincere negotiations with directors who lacked independence. Initially, the compensation package was valued at a staggering maximum of approximately $56 billion; however, this figure has varied over time depending on the fluctuations in Tesla’s stock price.
